Welcome to Serpentine Jewels. These Terms of Service (“Terms”) govern your access to and use of the Serpentine Jewels website, including any purchases, inquiries, appointment requests, communications, and related services made available through the website (collectively, the “Site” and “Services”).

By accessing or using our Site, or by purchasing from us, you agree to be bound by these Terms and our related policies, including our Privacy Policy, Shipping Policy, and Returns & Refunds Policy, each of which is incorporated by reference. If you do not agree to these Terms, please do not use the Site.

Throughout these Terms, “Serpentine Jewels,” “Serpentine,” “we,” “us,” and “our” refer to Serpentine Jewels.

1. Eligibility And Permitted Use

You may use the Site only in compliance with these Terms and all applicable laws. By using the Site, you represent that you are at least the age of majority in your state or territory of residence, or that you are using the Site with the consent and supervision of a parent or legal guardian where permitted by law.

2. Product Information And Availability

We make reasonable efforts to present our jewelry, gemstones, vintage pieces, pricing, descriptions, and availability as accurately as possible. However, because many of our pieces are unique, vintage, made by hand, gemstone-driven, or produced in limited quantities, slight variations may occur.

We do not guarantee that product descriptions, photographs, pricing, availability, or other content on the Site will always be complete, current, or error-free. We reserve the right to correct any errors, inaccuracies, or omissions, and to update or change information at any time without prior notice, including after an order has been submitted.

The display of products on the Site does not guarantee that any item is in stock, available for immediate shipment, or available for reorder.

3. Orders And Acceptance

Your submission of an order request does not constitute our acceptance of that order. All orders are subject to review and acceptance by Serpentine.

We reserve the right, in our sole discretion, to refuse, cancel, or limit any order for any lawful reason, including where we suspect fraud, unauthorized activity, pricing or inventory errors, or resale activity inconsistent with our brand or business practices.

If we cancel an accepted order and payment has already been processed, we will issue a refund in the amount charged, subject to applicable law.

4. Pricing And Payment

All prices are shown in U.S. dollars unless otherwise specified. Prices, promotions, and availability are subject to change without notice.

You agree to provide current, complete, and accurate billing, shipping, and payment information for all purchases. By submitting payment information, you represent that you are authorized to use the selected payment method.

Applicable taxes, shipping charges, insurance-related shipping costs, and other charges, if any, will be presented at checkout or otherwise communicated to you before completion of your purchase.

5. Shipping, Delivery, And Risk Of Loss

Shipping is subject to our Shipping Policy, which is incorporated into these Terms.

Any delivery dates provided by us are estimates only unless expressly confirmed otherwise in writing. Delays may occur due to carrier constraints, weather, security procedures, availability issues, or other circumstances outside our reasonable control.

Risk of loss and title transfer to you upon delivery to the shipping address provided in your order, subject to applicable law and any insurance process or carrier procedures that may apply.

6. Returns, Refunds, And Final Sale Items

Returns and refunds are subject to our Returns & Refunds Policy, which is incorporated into these Terms.

By placing an order, you acknowledge that certain items, including custom, bespoke, made-to-order, personalized, engraved, resized, altered, special-order, or otherwise designated final-sale pieces, are not eligible for return or refund.

7. Custom, Bespoke, And Special Orders

Custom, bespoke, and special-order projects may be subject to separate terms, timelines, approvals, deposit requirements, production estimates, design revisions, sourcing constraints, and final-sale conditions communicated to you in writing.

Unless otherwise expressly stated in writing, all custom, bespoke, personalized, engraved, resized, altered, and special-order pieces are final sale.

Production timelines are estimates only and may be affected by gemstone sourcing, vendor timelines, design changes, shipping delays, and other factors outside our reasonable control.

8. Appointments, Consultations, And Communications

Appointment requests submitted through the Site are requests only and are not confirmed until accepted by us.

We may communicate with you by email, phone, text message, video conference, or other reasonable means in connection with your inquiry, appointment, purchase, project, or account. By providing your contact information, you consent to receiving communications from us for transactional, service, and relationship-management purposes, subject to applicable law and your marketing preferences where relevant.

9. Calls, Meetings, And Security Recordings

As described further in our Privacy Policy, and where permitted by applicable law, we may record or create transcripts of phone calls, video meetings, or in-person meetings for purposes such as maintaining accurate records, improving client service, internal training, quality assurance, operational follow-up, and security.

We may also use video security systems at our offices, studio, atelier, showroom, or other business locations for safety, security, and loss-prevention purposes.

Where required by law, we will provide notice and obtain any consent required before recording.

10. Intellectual Property

All content on the Site, including text, graphics, logos, photographs, videos, audio, jewelry designs, product names, compilations, software, and other materials, as well as the selection, arrangement, and overall presentation of such content, is owned by or licensed to Serpentine Jewels and is protected by applicable intellectual property and proprietary rights laws.

You may not copy, reproduce, modify, distribute, display, publish, transmit, create derivative works from, sell, license, scrape, mine, or otherwise exploit any content from the Site without our prior written consent, except for your own personal, non-commercial use as permitted by law.

Serpentine Jewels, Serpentine, and any associated names, logos, slogans, product names, and trade dress used on the Site are trademarks, service marks, or other proprietary indicia of Serpentine Jewels or its licensors. You may not use them without our prior written permission.

If you submit reviews, testimonials, photographs, comments, feedback, suggestions, ideas, or other content to us, you grant Serpentine a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, display, perform, distribute, and otherwise use such content in connection with our business, marketing, and operations, subject to applicable law and any separate written agreement.

You represent that you have the necessary rights to provide such content and that your submission does not violate any law or third-party rights.

The Site may contain links to third-party websites, tools, platforms, or services for your convenience. We do not control and are not responsible for the content, policies, availability, or practices of such third parties. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

15. Disclaimer Of Warranties

To the fullest extent permitted by law, the Site and all content, products, and services made available through it are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, Serpentine disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as any warranties arising from course of dealing, usage, or trade practice.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free from viruses or other harmful components.

16. Limitation Of Liability

To the fullest extent permitted by law, Serpentine Jewels and its owners, officers, directors, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, use, or data, arising out of or relating to your use of, or inability to use, the Site, products, or services.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site, products, or services will not exceed the greater of: (a) the amount you paid to us for the applicable product or service giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Serpentine Jewels and its owners, officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

18. Governing Law

These Terms and any dispute arising out of or relating to these Terms, the Site, or any purchase from us will be governed by the laws of the State of New York, without regard to its conflict-of-laws principles, except to the extent otherwise required by applicable law.

19. Dispute Resolution And Venue

Any dispute arising out of or relating to these Terms, the Site, or any purchase from us that is not subject to informal resolution will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of those courts.

Before filing any formal claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting the other party with a written description of the issue and the requested resolution.

20. No Waiver; Severability

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

21. Changes To These Terms

We may update these Terms from time to time to reflect changes in our business, practices, legal requirements, or Site functionality. When we do, we will revise the “Last Updated” date above.

Your continued use of the Site after updated Terms are posted constitutes your acceptance of the revised Terms, to the extent permitted by law. If we make material changes, we may provide additional notice where appropriate.

By using the Site, submitting forms, or communicating with us electronically, you consent to receive communications from us electronically, and you agree that electronic communications, notices, disclosures, and records satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
